PC Dead - Upgrade offer but is it worth it ?

My PC is knackered (3rd time in as many months) Had a new CPU 1st time and and new motherboard last time, they tell me now that there is an intermittent fault with the new motherboard and are waiting for a new one. They have however rung me today to offer an upgrade at cost.
My system is :
Motherboard: Asus A8N32 - SLI NForce4A64 S939 - PCI Express
Processor: AMD Athelon 64 FX57
Memory: 2 x 1GB PC3200 DDR (400Mhz)
They have offered to rebuild / upgrade with the following:
Motherboard: Asus M3A
Processor: AMD AM2 4600
Memory: 2 x 1GB PC6400 DDR (667Mhz)
Cost to do it is £175+VAT. ( I have found the components online for £159.)
Is it worth upgrading (Mainly use the PC for Driving Sims) or should I just get them to replace my existing motherboard under warranty ?
