Or when the new staff member rips the idea off and keeps 100% of the new project. If you have no money to pay staff in the first place then you certainly have no money to enforce contracts, non competes and so on.

Indeed. If we put aside the issues we've already highlighted lets assume this does work really well. In a few months time you are pumping your revenue back in to the company to maintain growth. Still not paying anyone. You need more help so you look for another person to work for gratis with some shares. You can't dilute the share you gave the original developer so you share out some of yours. Very soon you no longer have full control over the company, your employees do.

I will eat my hat if this goes anyway with one developer working on it in his spare time.

All employment contracts I have had have stated that I will devote my entire working time to the company and will not take additional work without their permission. I wonder if your developer has agreed this?

Also I hope that he never decides to work on the project at work or on his work equipment. Otherwise you may find yourself sharing the IP rights with some other people.

Much larger undertaking than we first envisaged but making serious progress now. Needless to say, it's panned out completely different to how we first thought we were going to do it. Anyway, prototype is built and the first tranche of seed funding is due in the next month or so.
