I have no issue with opinion which is why I suggested the exercise above. What I am completely against is opinions of co-workers presented as moans or "I'm better than them" etc etc. If you are asked about a colleague you should express your opinion but keep it factual by backing it up with examples. Anything less just sounds like you don't like the person or think you should be in their job etc. Both of which may be true but they won't get you any credit.

You're a Finance Manager and you've never seen the accounts? Really?

Not sure if that reflects badly on you or just your boss, but I would use that in your meeting as an example of how you could add more value to the business. It also sows the seeds (if that's what you want to do).

If it were me, I'd try and make everything factual, but (as above) getting a message in that there are things you think you can bring to the role that you are not getting the opportunity to do. More of a "I'd like to do x, but the current role is a little restrictive" rather than "my boss isn't as good as me".

Having worked with NED's they usually only starting delving this deep for one of two reasons. Either they/the board sense something might be untoward and not working properly or they have been specifically asked to lend their experience/skills to a particular project or task. If it's the former it should work in the OP's favour. If the NED is experienced their line of questioning should make it easy for the OP to paint an honest picture.
