I am not sure if this should be in SP&L but will try here.
Manufacturer will offer us UK exclusivity if we order xxx of his gizmos, great I say what if your French disty sells them to a French reseller who sells them to a UK competitor.
"We can legally stop that" no you cant I think to myself but say nothing as I don't want to spoil the lucrative deal.
I am taking advice but as ever I am also throwing it on here for any feedback.

very much doubt you can do anything...
I have UK imports and distribution rights, but I am allowed to sell to UK companies and it doesnt matter if they sell elsewhere as the main company is in the UK.
Im currently supplying Spain and Cyprus, looking to open up to Ibiza.
Not supplying the company in Spain, but they do get a decent deal off me in the UK instead.

you need the manufacturer to act to enforce geographic exclusivity through its distributor network
whatever the agreement says, there will be infringements from time to time
when that happens, it is only the manufacturer that can stop it
and they don't always want to
