Seems to be the director of over 30000 companies. Why would someone become a director of so many companies and is it illegal?

I clicked this by chance and have taken some time out to google this. Could someone with a better business brain explain what is actually going on here?

What does this woman, or the people involved, gain from the thousands of non-trading and apparently nonexistent companies?

I haven't googled, but is she either involved in company formations or a nominee ?


Or is this one of those dodgy channel island things?

She is used as the natural Director by a company formation agent. (each company has to have at lease one real, "natural", director at all times.)

That company then sits on the "shelf" as dormant until someone comes along to buy a ready made company whereupon she resigns and the new owner/director takes over.

Nothing dodgy - she was the first director of my company and I can assure you I am about as above board as you can get!

What happens after she's resigned may be another thing altogether of course! Some of her company may appear to be non-trading/dormant as that may be what they've been acquired for (corporate planning) or simply their status may not have been updated. Don't forget many businesses will never get off the ground really so plenty will fail without doing anything tangible - nothing to do with the formation agent.

PS I suspect someone will be along soon to say not to bother using an off the shelf company as it can be done cheaply and easily yourself, but that's not the point of the topic.

I was discussing this with a friend and apparently there is good money to be made in company formations and having this set up and active in someway for a year or so: allows them to build up a credit rating and then sold for a tidy wee sum.

Not sure how much truth there is in that or if its "that" easy but this could be was Kahan is doing.

I do hope for your sake that Mrs Kahan isn't especially litigious.

You would appear to be repeating (and giving wider publicity) to a potential libellous headline, if all she has done is act as a company formation agent.

No problem - I didn't deal with her directly - the solicitor I used to set up my first company bought it from the formation agent that she's affiliated to - that's all, presume that 's not what you're looking for though.

Ah I see (I think). So she would develop companies and register them as dormant companies, then sell them on?

What is the actual issue you have?

As has been explained in this thread, she was involved in company formations.

It is standard practice for a company formation agent to go through the set up process of creating a ltd company using a standard set of articles of incorporation and with a particular person as the initial director.

The company is then sold as an 'off the shelf' lts co and the new owners submit the forms to comp.house to replace the inital director. British rules on company formations have always been a bit lax and they aren't really policed in any meaningful way.

I am trying to understand how 1 person creates thousands of companies. Does thousands of customers contact Barbara Kahan to set up a single company or does she set them up herself then place them on the shelf for potential buyers?

For example, did sleepezy contact her or did he search a directory for company names, found one and purchased it from her.

Ok that sounds like a great idea. Sort of building websites and selling?

1. Website designer builds websites using unique domain names and sells them on godaddy

2. A company formation agent creates a company in her name then places it on a registry for selling to a new director

Basically they provide a service where you can just buy a company and its more or less instantly set up.
I would imagine they make extra cash by providing further services such as bespoke articles.

It's pretty straightforward to do it yourself though with very little delay.

Shame she can't do the same for business bank accounts!
