Holding Company formation question

Hi,
I am currently in the very early stages of starting a number of new business (all in a related field) with offices both here in the UK and one in The Netherlands. I have set up and run a number of Ltd companies before but they were individual companies and all based in the UK only. What I am looking to do with the new set up is to form a Holding Company structure in the UK, with a management company and a number of limited companies underneath that. I have tried seeking information about such a structure from Companies House but they only deal with the incorporation process, they apparently don't give out advise on how best to structure your business. I've tried talking to my accountant about it but he can't advise on incorporating the Dutch company into the structure. On a side note, I will not be using his services for the new business as he has been more than hopeless over the past few years and has in fact caused me no end of grief with HMRC ... but that's another story.
So, my primary question is, is there anyone on here who is a company formation specialist who wouldn't mind talking to me about how best to set this structure up. Of Secondary importance is to find out if anyone can recommend a reputable accountancy service in Warwickshire - near Stratford upon Avon would be ideal.
