Installing Magento would be the obvious place to start.

It's impossible to advise further without knowing your current level of expertise. If Zend Framework and MVC are gibberish to you, you're going to have a painful ride.

As for protecting it - I've seen some extensions that are protected by ionCube (PHP encryption).

Any ideas how to protect it or am I dreaming - I found out my web guys can author it but will get them on a NDA first.

I don't know anything about Magento but I would advise contacting your lawyer (who is hopefully drafting the NDA ..) and then trademark/copyright/patent your work.
