Discussion
There are a lot of updates with the car and engine from the 4.0 and 4.2
It's like the Mark 1 and the Mark 2

As has been pointed out:
4.0ltr 5 speed gearbox. 370BHP
4.2ltr 6 speed ZF 'box. 400BHP.* Edited for typo
I've owned both and on reflection I preferred the 4.0ltr 5 spd. BUT although the extra power is there, under normal driving conditions not that noticeable. The main difference between the two however is fuel consumption. The 4.2 6 spd does noticeable more MPG than the 4.0. So you get more power, more gears and more MPG, seems a no brainer to go for the 4.2.
The interiors do change, but they all so different make sure you know what options were available and what options you want. If it was me, the essential options would be Recaro seats, Brembo brakes, Handling Pack (Coupe only), 20inch BBS, in Black!
