Heads of terms

Does anyone have a very simple Heads of Terms agreement they could email me? I'm working out a very small-value asset purchase with someone and need to send a simple HoT off to get things started.

I have an agreement to base from, but it relates to purchase of shares, not assets; could do with a relevant one to check against before I send it off.
