And when the persons who own the 99% shareholding in the company decide the shareholders will have a vote on changing those Articles of Association just before the divi payout, what happens then??

He originally said his trust owns the 99% , so he will be the trustee and beneficiary anyways

Hmmmmm....

So no voting rights,I'm with you.

But then

"10 Class B shares (owned by you, 1% voting, 100% dividends)"


So 1%, therefore breach of AoA?


Also

"you can have 99% of one and 1% of the other its all in black and white"

Please explain how you can have 1% of 10 Class B shares?

I'm still waiting for our Kez to contact me as his willing and eager apprentice. I don't think I live too far from his 'headquarters', so I can get the bus or a tram. I draw a line at wearing whatever he's got on in the above pics even if that is the company uniform.

In which case what's the purpose of the other shareholders if they get no dividends?

I can only see the posts here (I don't follow him elsewhere) but it says "a trust" not "his trust"

a trust is technically its own thing but you can most definitely create a trust give 99% shares as voting rights to the trust and 1% to dividend rights. just check the internet

Potatoe , potatoe it all still sounds like a Tax avoidance scam. Nobody who can make so much so easily would deliver takeaways or wk dogs for money.

the takeaway thing was a publicity stunt, the guys clearly milking people from course sales. however, dont be blind to his marketing. I will call out his negatives for sure. but his marketing is pretty good. thats why he spells stuff wrong on purpose.

I'm not an expert but having watched some of his stuff via this thread I think our sausage dog has better plans for well being and income, Kez is a chancer who is looking for the next grift. Last time I bothered he was trying to flog apartments in Turkey or somewhere!

As if anyone sensible is going to fall for his miss spelled advertising.

Yes, it really is simple. If you are working so hard selling courses then you are not making the money doing the things the courses teach people about. Why not focus on “borting” more apartments in Egypt or forex trading with 50% profit per day etc?

Haha fair comment, I did think to check but was in a rush lol. Luckily I'm not trying to sell courses in finance or advertising half built flats in 'T'egypt as Peter Kay might say!
