I'm looking to have an NDA and subsequent contracts checked prior to taking on a customer. Does anybody have any recommendations or able to offer their services?

Much appreciated

Which sector? Which jurisdiction is proposed?

This is exactly why I'm happy to pay for the help as you've lost me already. It's an NDA between two partnering IT companies, my company and a service provider.

I don't really understand what you mean by the second question.

If you are both operating in England you usually use the English law for the contract.

But if one company is English and the other say Scottish/French/Italian whose law will you abide by for the contract.

Ah, in that case it's easy. We're both in England.

Blake Newport Associates are good. I don't know if they take on small advisory work as they are geared towards large SIs). I have no connection to them. If they don't then they may know someone that does.

The NDA is relatively straighforward.

The contract review is less so and, depending on the value of the contract, worth doing properly.

Depending on the nature and value of the contract, which party is supplying the first draft, the nature and complexity of the deliverables, whether there are lenders in the frame, parent company guarantees/credit support, is there any design involved and if so, any sub-contracted design work by third parties (which may require warranties) etc etc the cost of such work is equal to the length of a string.

It could be simple and a very small part of your trade. It could be a key contract that could make or break your company.

Lots of factors that any half decent commercial contracts bod will discuss with you before settin gout costs and timescales.

Do you have the NDA and contract to be reviewed? I've reviewed loads of them over the years in the IT sector. Not that I can give you proper legal advice, but happy to give a view on whether you need specialist legal advice or not.
