Limited by Guarantee
Discussion
Not sure if this is right place for this, so apologies if wrong! Curious about companies under Limited by Guarantee rules and the standing of classes of guarantors becoming liable in the event of liquidation. Some clubs are similar organisations and have members who are registered, and others who are subscribers. Are the 'registered' (non-paying) ones responsible under the terms of the Guarantee in the same way as the subscribers (paying) or are their respective so-called memberships (for want of a better word) 'tiered' in terms of liability? Thanks.
In the case of a club you will need to look at what the Memorandum and Articles of Association say.
Where the club is wound up each member is liable for his/her share ( usually £1 but it can be any amount as specified by the Articles).
It seems an odd sort of club which has members who are 'registered' but yet pay nothing towards the running of it.
