You can't do it online, you need the transfer cable.
One thing it keep in mind is whether or not you have more than one account on the machine, and if you download a lot of XBLA games. if you do, only the account that actually downloaded the games will be able to use them on the new 360, as opposed to all of them.

My premium developed a fault (ahem) so I swapped it for an elite and paid the difference (£20). And to be honest theres nothing different. I dont even think the matt black looks as clean as the white.
You don't even get a data cable to transfer the stuff over I've had to send off for one.
No play and charge, no HD DVD and no quieter. Boooo
