Partnership agreement

A friend of mine has offered me a stake in his company in return for some assistance I have given him in setting up a website. I have a solicitor who will check over any contract for me free of charge but I just need a partnership agreement or similar template to get us started. Does anyone know an online resource for such things?
A double edged sword.
Why not just get paid?
Partnership - you will be jointly and severally liable for what the other partner does or does not do and should have. Does the firm have debts? You will be personally liable if it goes wrong/folds.
Apologies if you are aware of the above already but in case your not never hurts to point out the obvious.

Sorry, I kind of wrote that in a hurry! It's an equity share in a start-up company, I was offered the payment but in terms of what the work is worth at my usual rate compared to what the percentage share could potentially be worth I thought it was worth a punt.
So I guess I don't want a partnership agreement at all- I want a contract detailing an equity share allocation.
