During the recent rumors (see here and here) several members have suggested a PistonHeads membership buyout of TVR. Now, would we be willing to put-up or shut-up. They say that TVR owners are at the top of the list when it comes to "The Power and the Passion" (to steal a quote) of their cars.

Let's also add in a few basic assumptions:
1. TVR will be up for sale at some time.
2. Slightly higher price, say 20 - 25 million would probably make that time sooner rather than later.
3. Private consortium buyout, not a full public float.
4. Consortium shares available to TVR staff, dealers and owners (Please don't comment on the legal problems of this).
5. Mimimum share distributions, if possible - 10% staff; 10% dealers; 51% to be held by UK residents.
6. Mimimum share holding GBP 1,000.
7. Maximum share holding GBP 1,000,000.

General running of the business would be along similar lines of a publically listed company. i.e. A company CEO and board elected by the share holders. The CEO and board have the full responsibility of running the company on a day-to-day basis, and providing balanced returns to staff, customers and shares holders.

I going to start with an opening puchase of 10K, and please keep a running total to avoid adding the results up. Also would be good to only show realistic offers, or I've just wasted my time typing all this

Offer 10K. Total 10K.

I'd be in for £1K but not for any profit (which is probably not much), just any benefits of being a shareholder.

So the company costs £25m and I buy £1000 of shares. If as mentioned in another thread the company made £1m profit last year. Assuming all that is distributed to sharholders (i.e. no re-investment) then I get a £40 dividend on £1000 investment? Why bother? I cant see there being any other major benefit of being a sharholder apart from having a vote. Lets face it, TVR is not going to be a major player in the automotive industry so that £1000 investment is never going to be worth a whole lot more.

Fair call. But I think in this case the value comes from what you put in, not what you take out. Also, you could have a say on what exactly the fringe benefits are - for example, certain discounts applied etc. You could also collect together other stock holders at voting time and maybe have some serious input into the choice for the next model or other key decisions. It would be your company, use your imagination.

Like I said, its the benefits of really being part of the company that Id be interested in, not the profits.

Only one problem here. The max shareholders you can have for a UK ltd company is 20. TVR would have to float on the AIM to make it cost effective.

IMHO if this were to happen, there would be an aggressive takeoverbid by one of the big car companies to get TVR market share.

This would be the end of TVR as we know it...The only way is an MBO or a private consortium or investors.
