Job Dilemma - What to Do?

I have an issue!
Before I go further let me say that I am quite a humble person so when I may sound like I am blowing my own trumpet I don't mean to, it's just the truth.
I've got myself into a good position at work having helped establish the company, through hard work and loyalty and some kind of skill! I love the job, the people I work with but just can't stomach the way the MD works. He's actually a great guy in general but has a bit of a power/cronyism problem.
He gets an idea in his head and runs with it regardless of advice from those employed to do so. When the idea fails he has to find someone to blame. I'm sick of him doing this and like to tell him it as it is, I've no interest in brown-nosing him while we blindly follow him into oblivion. Other really talented people who have stood up to him have been forced out. There are a few that pander to him and they've become his cronies, but in general these people are a bit useless. Because they have their noses up his arse they get away with murder. Slowly by standing up to him I feel I am being sidelined. An instance to explain this was when he gave credit for something I'd done to one of his cronies in front of me. The woman he credited for my success was not even with the company when I was working on getting the contract and developing the concept. Now he's started asking his cronies for advice on matters that they have no idea about, things that I should be consulted about. I think he feels threatened by me. I see that sometimes he seems to want to make a decision that overrules my own decision just to get one over me, evident when the decision he makes turns out to be a stinker, every time.
He's also quite unnecessarily derogatory towards mutual acquaintances who I respect, people who have done well for themselves, I think it's a childish rivalry or jealousy that drives it.
The strange thing is I've just been given a very good pay rise this week.
The dilemma is I've been offered a job by a good friend doing something very similar. My friend has no interest in games. If I f
k up he'll let me know, if I do well he'll say. I think he respects my opinion and he too hates cronyism, having seen it destroy a company we both worked for in a previous life. I do have loyalty to the team though, and feel that if I go the place will go tits up. It's easy to think oneself irreplaceable but I think they would struggle to find someone to do what I do. We've tries to bring in new blood to assist my work but there just seems to be a lack of decent people, maybe what I do is very niche.
So what do I do? Is this quite a common situation for others? Should I accept this is what happens, suck it up and stay, or should I depart?!
