Stamp Duty: Transfer of private co shares to wife

I'm looking to 'gift' shares in a private company to my wife.
I can't find anything definitive on the .gov.uk website but from what it seems to suggest there is no stamp to pay as no consideration is changing hands and accordingly stock transfer forms don't need to be completed and sent for stamping. At company level the board just needs a minute to reflect the provisions in the Articles of Association and we do the necessary companies house filings.
Anyone able to confirm this?

If you are planning on taking advantage of the CGT relief in the near future it might reset the clock on the shares. I don't know a lot about it.
