Depends what you mean by "straight in".
Yes it will all fit, but you'll be replacing more than just the block. Also bear in mind that you'll want to be able to stop and go round corners too, so you'll need to do the suspension and brakes. And you'll ideally want an LSD to keep it under control. And the 6 speed box if you go for the 3.2.
All this assumes you're talking about an E36, not sure how easy an E46 conversion is.

There was an E30 touring in the classifieds on here a while back, think it started life as a 325i but had a M3 EVO engine in there and was now badged 332i was on the market for about £9-10k IIRC and looked a very nice job.
It would be even easier to do the conversion on an E36, if it were me doing the job then I'd get 2 complete cars (rather than a touring and a pile of M3 bits) that way all the niggly little bits won't get lost and you'll end up with some decent parts to sell on after to get some money back.
On a final note though, have you seen how small E36 tourings are in the back? I've got a '97 325tds touring and don't think it's a particularly large car - think Escort estate but without a fold flat floor.

If you are going to go that far I reckon the E39 V8 would be a better bet. Probably a smaller package being two cylinders shorter in length. I think Hartge did one. You are going to have to change the box too, you could probably find a V8 and box cheaper than the S54 Evo engine. You have also got the choice of 4 or 5 Litres too, so could have a sort of sensible 4.0 Litre with some ok fuel mileage or the crazy horse 5 litre, that would make an e46 fly but with fuel consumption requiring the attention of a Victor Tanker...........
Why not just get an E36 328i 'M-sport' Touring & then spend a small amount on an M50 intake manifold conversion (approx +15bhp) + maybe a K&N, performance exhaust & suspension/brakes.
Would be a hell of a lot cheaper than a 'full M3 conversion' & would go 'ok' with around 215-220bhp. Remember, the E36 is a couple of hundred kilos lighter than an E46, so the std performance with 190 BHP isn't too sluggish - around 7.3 secs 0-60 etc. & with the mods above should be under 7secs to 60.
