fair price for 645ci

I have been offered 15k as part ex against an M5 for my 6 series from BMW dealer.

645 ci auto coupe. 2004 model, FBMWSH and under maintenance pack and warranty to october 2009. MOT/RFL to oct 2009.
I am 4th owner but owned it for 3 years.
Silver grey with black leather
45k miles. extras include dynamic drive, 19 inc alloy, telephone, TV, sat nav, logic 7, heated seats, adaptive xenons.
minor alloy scuffs and 2 parking dints as well as a few stone chips.
I would have thought 18-19k against the new car which is an 05 plate with 45k at 35k gbp.

Any advice appreciated before i go back to dealer. The gfv is 16k and due october 2009 so i could just return car.

I am in the market for a 645ci at the moment, and would say that offer is about right
