Jaguar S-type 2.7 V6 Diesel or Merc CLS?

Hi folks.
My trusty Seat with 116k has in the last months started playing up, mainly mechanical issues. I'm thinking its time for a change and am pondering the above two cars.
The Jag is 2004 on a '54 plate, 60k, diesel, auto 'box, good history and looks a nice car. Price is £5500.
The Merc would be slightly newer, diesel, auto, no more than 70k ish, history etc, price between £9-10000.
Has anyone driven these back to back, owned both, knows of any potential pitfalls etc? I do about 10k a year, my commute is between 20-40 miles to the office, then back, 75% on motorways.

10years 105k for belt, 10years 150k for fuel pump belt.
Pre 06 means no dpf also (down turns exhaust tips)
Gearbox will need a service by now, check headlights adjust properly and battery age.
Had mine 6 months now and love it! Only do 10-12k a years so should have got the V8, but love the diesel torque and 43mpg on a run.
