As far as I am aware, the 4.2 is a sound engine, and will have no problems doing the mileage. Properly serviced, it will be fine, and, again, if properly serviced, the gearbox should be fine for a few more miles yet.
The only issue with earlier S-Types were electrical niggles. For example, fo some reason, a car manufacturer with many decades experience of making electric windows, made complete duds on the early S-Types, and stuff like that was always going wrong.
