Any advice appreciated here...

My brother and I dabbled in mobile apps via a limited company. Never successful, just about covered license and hosting costs etc.

We stupidly missed our annual return and have a £350 fine. We were told at the time that if we closed (de-registered) our company we could avoid the fine as they would not chase it. However, upon looking into this you can only do down this route if it has not traded for three months,

During the past three months there have been a few very small sales total lying a few 10's of pounds. So can we go down this route with the DS01 or is there an alternative way. If we have to pay the fine that will wipe out the last of the money! However, of course it is totally our fault...

TIA.

You only get fined for late filing of accounts, and only if the accounts are actually filed.

Non-filing of Annual Returns can eventually result in the threat of prosecution for the Directors, but I suspect your not that far down the line.

If I were you, I would close your apps/site down and the bank account, call Companies House so they can note you are going to submit a DS01 strike-off application and then do so in 5-6 weeks time.

I assume you have no unpaid creditors, except any loans from the directors and shareholders? Otherwise you may need to speak with an ISP.
