Quickie,

If a company changes it's registered address then does it need to notify shareholders or directors?

There is nothing about this situation in the Mems and Arts.

(Situation: company appears to have changed it's address at Companies House but one of the directors and several of the shareholders weren't notified - indeed they have only found out by accident. Is this legal?)

Unless the articles or shareholders agreement states differently the default position is that the board of directors can change the registered office.

Thanks wattsm. And what if there was no meeting of the board of directors; one director (who lives at the registered address) moved house, updated Companies House and didn't tell the other director or several shareholders?

The director failed in his duties. Convene a sharehoilders' meeting and fire him off the board.

Thanks guys. The shareholders think that roses drop out of the director in question's bottom on a regular basis so wouldn't dream of kicking him off anything, but I will make a point of raising the matter in order that it can appear in some minutes somewhere.

So by the sounds of things the director lives at the companies registered address, and has moved home and changed the registered address of the company to his new home address.

If this is the case then your issue is what exactly ? Would you prefer company documents still be issued to the existing address which he no longer occupies ? Sounds to me he has done the reasonable thing if I'm honest, albeit find it slightly odd that people choose to have any of their businesses registered to a home address, as even if there are no operating premises, there are better options.

Spot on in your summary, thanks.

The issue is that at no point did he tell even the other director that he had moved the company's address, nor several of the shareholders. I was wondering whether this was normal practice or whether it breaks some rule somewhere.

He should have notified the other directors because, legally, the other directors are responsible for HIS actions.

He probably did the right thing in moving the office - but he should have let the other directors know he planned to do this BEFORE he did it.
