Potential E320 estate purchase

I have a 2005 SWB shogun warrior and it is too tall for the rear entrance to my place of work, so it has to go. I am now thinking about swapping it out for a E320 estate, 04 - 05 facelift shape and wonder if there is anything to look for with these. I had an R reg C220 estate before and rust was a problem.
My Shogun has 48K but I'm not sure with my budget for the merc will get one less than 70K.
Ideally I want a straight swap with no extra cash involved. I am tempted to sell privately and buy from auction.

Mileage isn't a concern on Mercs, at 70k an E320 will be just run in and have many years left in it. In terms of reliablity, the facelifted version is fairly good as it was around the time that it was put on sale that Mercedes started making a concerted effort to improve quality. Just make sure that everything works as it should otherwise it could be expensive to put right and newer Mercs don't rust like older ones as far as I am aware.
