merc s320cdi buying advice

Looking at an S320cdi, what would you advise, my budget is up to £4k. Looking around on the web this enables me a newer 04 plate with 200k miles on or and older W/51 plate with 100k on the clock. I think the 04 plate is the slight facelift as it as the clear head lights and command system.

When did the engines change from inline 6 to V6? Any difference on these?
