Selling shares in a small company

Hi

I am a joint owner of a small business and we are raising some finance from some third parties (six figure sums). We have a Share Agreement from my sizable purchase into the business, but now I need to plan for the additional investors.

Presumably I just need to issue share certificates to them (after receiving funds) but don't need to issue any kind of share agreement, as their ownership will be governed by the Articles of the Company?

always get a shareholders agreement. It protects you and them in the event of disputes
