One company i am connected with has in ots Articles of Association specific information on how a member who cannot attend can make a proxy arrangement by advising the company sec prior to the AGM nominating a member who will attend

Another society for voting at AGM just says

All members have one vote.......Thats it nothing about proxy, attending or anything

My question is concrning this second company

Should a member who for whatever reason is unable to attend the AGM give written permssion, either by letter or email that I can vote on his behalf withoput notifying the Co.Sec?

He,and several others want the complete board out and the less they have wind of this the less time they can get their 'mates' to bail them out.

s.324 Companies Act 2006 says you may appoint a proxy and s.327 says you must give the company at least 48hrs notice.

Actus,
Thanks. will inform the chaps concerned. We have a back up as two members present can demand a poll, which has to be done. A it will concern thewhole council being voted out, i think they will put everything they can against it.
Do the poll demnders have a say on what the poll question(s) will say?
