SAYE Share scheme Tax

hey,
I have a Save as you earn share scheme which I can potentially mature early due to a Merger. If I do get out of the scheme early the shares lose there tax benefited status so I'll have to pay income tax (and NI?) on the shares. My question is, do you guys know how income tax and NI is calculated on the shares in a scheme like this?
