I am seeking a solicitor to finalise a business acquisition. Limited company acquiring assets and shares of another limited company. A deal was agreed with a structured payments plan until completion.

How big is the transaction, I can recommend three, each of whom deal with different ranges of transactions which range in total between 0.5m and 150m. can also recommend a legal team between 150m and 1bil

Shame, just heard it just fell over the billion mark.

The people involved in multi billion business deals normally look to a car forum for legal representation I'd imagine?

I used Steele Raymond in Bournemouth a few years ago.

They were exceptional!

I was selling a small business to a large multinational.

Can’t help with solicitor but from your post I hope your the buyer not the seller. Selling a business on credit / payments / in tranches is something I would never do.

Use the relevant person at your Company's legal practice. Also decide on what you're buying - shares and assets can be 2 very different scenarios.

Yeah, we don't have a Legal department. Hence looking for recommendations on solicitors. Yeah, I will go with buying assets.

Sorry, I meant the local Solicitor you may have used before. No need to overpay on this. Assets can be best for you. Shares can be better for the Vendor.

I see you're in Warwickshire. Talk to Band Hatton Button in Coventry. Marta Fisher. They'll stretch the work out to keep the fees up, but they all do that. Make sure you stay in charge, and they'll see you right.

And if they don't; this was not advice, just opinion smile

Sorted. In the end I found a fixed fee solicitor to do only the head of terms for the assets transfer. Cheers guys and gals!

Did they explain the difference between a set of heads and a full blown acquisition agreement?

Its very simple what I am trying to do, none of these 1bn, employees, shares and contracts. Only a name, tools and some client contacts. The only matter I am still worried about is keeping hold of the brand name over time. The sellers are old and looking to retire, but the business will also wear the name of their younger family members. Need to find out more about this.

If it's a Limited company, and that's what you're buying, you're fine. If it isn't, register it.
