Is it possible to move a residential property from one limited company to another without paying stamp duty?

I want to liquidate the limited company that the property is currently in.

Stamp Duty is charged on "consideration". i.e. price.

Gifts, since there is no price, usually attract no Stamp Duty. (NB This assumes no outstanding mortgage)

All you'd have to do is work out why one limited company decided to "gift" a property to another.... Not easy. HMRC is unlikely to be impressed.

Meanwhile, back in CGT land, a gift is a "disposal" so Capital Gains Tax needs to be considered.

If they are in a tax group, no sdlt and no cgt.

Otherwise as above. CGT based on market value of the property at the time of the disposal from one company to another.
