Hello all,

I've co-founded a new venture this year, and we need legal support to finalise the shareholders' agreement. It's a little more complex than standard as we want to vary the dividends based upon individual performance, which we intend to manage through alphabet shares.

I wondered if anyone had any advice if they had previous done similar, or recommendations for lawyers that do this.

Any of the London corporate type lawyers. In the past I have used Gowlings, DAC Beachcroft, CRS, Biird and Bird, Norton Rose Fullbright etc for this sort of thing

A good accountant can set the bulk of this up.

A good accountant can set the bulk of this up.
I wouldn’t use an accountant to write a complex shareholders agreement!

I’m an accountant and agree a lawyer has to draft, good accountants can give good input though.

Strictly shareholding/dividends should be the reward for shareholders, rather than being used as remuneration for the role of those working in the business. Just watch out it is a potential issue with HMRC
