Been there, had that, fixed it! See my post from a couple of weeks back

Check your WG3111T driver - it's probably 3.0.0.43. There's an update on the Netgear website which is rev 3.2. Download that and it will fix the problem. There's a specific glitch between the original driver and XP SP2.
It was a very satisfying fix because it was so simple and the effect in terms of getting back my CPU was dramatic
