Letter of Intent

I'm looking for a straight forward LOI to acknowledge a proposal; if poss a link / or the basic text body that is required.

I'm about to enter into business agreement (as a shareholder).

I spent a half day with a lawyer talking about LOI's and the general feeling was that they are great for solicitors and just about nobody else.
We have acted upon LOI's on many occasions our lawyers reckons regadless of content they are a nightmare.
