One of my companies is currently in dispute with another other works done recently.

I have been recieving letters from the said company for a number of months now all signed by the same person. I have carried out checks of the company & its directors, etc & the person who has signed the letters was not a director or shareholder of the company (he has never said he was though) up until the last week or so. He does also have another company thought of which he is a director/shareholder.

My question is, how do I find out what his position was within the company prior to him becoming a director, ie whether he was on the books at all ? I am trying to find out whether or not he should have been signing letters on behalf of the company at all ?

This person has always presented himself to be the 'main man' of the company & I have now found this not to be the case whatsoever.

Is there a way of checking whether he was ever on payroll of company, etc ?

Does in matter?

Not a glib question. I have been in a similar situation where I have I have done work and later on it is disputed and have heard from the boss 'Well XYZ should never had agreed anything with you, I am the MD it should have come through me to be a valid contract...." Rubbish I am afraid.

If you have acted in good faith then everything should be sound. If they want to take things up internally then that's their problem. I would suggest that finding out the exact position that the employee actually has or had may be barking up the wrong tree.

Some more info would be useful though!

No, you miss my point.

I am actually interested in whether this person ever was on the books/paid by the company for which he was signing letters.

I see (kind of) but it is difficult to advise fully without knowing the situation and the reason why.

The simple answer would be to phone up the company and simply ask if X had the authority to sign letters on their behalf as an agent, or indeed whether he was an employee.

The way you would go about that would obviously depend on the reason why you need to know and what kind of action you are planning either way.

It's about representation. Did he purport to be acting on behalf of the company? If so sue the company. If not sue him and consider involving the police if he's made a personal gain.
