You could try all romantic, take her to a spa/up market hotel that costs a small fortune/whatever for the weekend and pop the question when she is all "oh I love you so much, squeeeeee!"
Or get a small child to run up to her and say "my mate fancies you, will you marry him?" at which point you pull out the ring.
Personally I think the latter will have better results.

I caught her completely unaware... walking home from teh station together one friday evening and casually asked "What time should we go out tomorrow morning engagement ring shopping".She stopped dead, squeaked and then jumped on me. Apparently it was a good sign.
The way I see it 
It's a special once-in-a-lifetime occasion, make an effort. This is one of those jobs that as a man you've got to do right to get any respect. I've forgotten the number of guys I've seen asked "how did you propose" and they've said something like "Well, we were watching TV and something romantic came on and it got me thinking so I said "How about it then and she said alright". You can see that even a decade later the lady is rightfully unimpressed with this performance. Find a great venue - guys I've known to do it right have chosen mountains in NZ, the shores of lakes, whatever she really likes.
It's private. Do it somewhere where it's just the two of you - if she says yes then you can both enjoy the moment without wondering what other people think. She's also under no crowd-pressure to give a false "yes".
Be prepared to bail out and try another time if it goes wrong. I'd planned to propose on the decks of a yacht during the last full eclipse. The other (married) couple on board were bickering so intensely through the trip that anything connected with romance was impossible.
