1st one, from a small indy dealer,
cheaper
fully specced up
but
older
higher mileage
no bmw warranty

newer
more expensive,
missing options (bluetooth, cruise, xenons),

low mileage
with proper warranty

Z4 without the options is very hard to shift. You will pay for it later.
How flexible is your budget?

i want cruise so i keep my licence
i want bluetooth so i can use my phone and keep my licence
i want xenons because it look nice and helps? resale
i want satnav because it look nice and helps? resale
i can do without any i guess, but the fact that i can get AND for less money kinda annoys me.

Main dealer, the options can probably be sorted out yourself diy or dealer fit? Get a bluetooth stereo and get cruise fitted, don't worry about the xenons.
Personally I wouldn't buy a car without xenons if it was available as an option. A must have in my book.I picked the Indy as the spec will make it easier to sell and (assuming a £1k difference in the final price) you can buy a good warranty afterwards. Plus 36k on a 4y.o. car isn't high - it's just run-in!
That said, the main-dealer one is a better colour-combo. Not sure how easy some options are to retro-fit...
