spare keys and ecu

Hi all,
Can some one help before i get conned by BMW.
I have a 2004(54)645ci which is causing me many problems, BMW have told me that my ECU needs changing, cause it is faulty "apparently" i have two keys one i use all the time and the other as a spare i understand that the keys have a memory when i tried both keys in the car the first gives me one lot of information and the spare tells me some thing else.... can the spare which has never been used in the last 13months rectify my ECU problems?
