Hello,
I'm after a bit of advice.

I registrered a LTD company in jan 06, and have done nothing with it at all. I made a website, then decided to close the site as I dont have any time to run the company now I've got a job that I really enjoy.

So, how do I go about closing the company?

Apply to Companies House to have it struck off. They have a standard form (Form 652). All that needs to be done is to fill the form in and submit together with a cheque for £10 payable to Companies House.

As long as the company has no outstanding liabilities to third parties, the striking off should be processed automatically at no additional cost.

And make sure you take any money out of any compoany bank accounts before the company is struck off, or else you will lose it. I believe it ends up in the Treasury somewhere.

Or just ignore it and save the fee. Companies House will ditch it in due course.

But if no return is filed, doesn't the director get a fine?

Not worth the risk.

If the accounts miss their normal annual deadline, the company WILL be fined £100. Companies House NEVER miss that penalty.

The fee for striking off is only £10.

Yes - agreed and you should always clean your teeth every night. If the company is dead then leave it to die - i agree that there is a £100 penalty for the late filing of accounts but if accounts are never filed then they can't be late and the file wont be trigged.

dont file the accounts - no £100. If the company has never traded then just forget it. Or get your PJ's on, clean your teeth, wipe your arse and pay £10.00 - I dont think you're going bankrupt either way!

As a professional who would like to maintain my praxtising certificate, I can hardly advise folk to break the law, can I?

But you can learn to spell Eric

And for those who won't follow Eric's advice...if you feel that way, it is a 10-1 bet...personally, I would pay the £10...

Sent the letter and the cheque off in the post yesterday. I feel sad about it as i really wanted it to work out. Cheers to Eric who gave me tonnes of advice and help over the last few months, too.
