You're right, it is an upgrade key and the only qualifying products are previous versions of Project. If you have a previous Project CD, you can just point the install to that. I found a Project 2003 CD from a previous Action Pack and it accepted that.

Strange decisions from Microsoft (this added to the Vista upgrade PITA).
